1. Agreement to Terms

These Terms of Service (“Terms”) govern your use of the BookstackAI platform and services (“Service”) operated by BookstackAI (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

BookstackAI provides AI-assisted bookkeeping services for US-based tech startups, including automated transaction categorization, GAAP-compliant financial report generation, and CPA review of flagged items. The Service connects to your financial accounts via Plaid to retrieve transaction data and produces P&L statements, balance sheets, and cash-flow metrics.

The Service is not a substitute for licensed accounting, tax, or legal advice. Financial reports generated by BookstackAI are reviewed by our CPA team but are provided for informational purposes. You are responsible for verifying the accuracy of all reports before submitting them to investors, lenders, or tax authorities.

3. Eligibility

The Service is intended for businesses incorporated in the United States. You represent that you have the authority to bind your company to these Terms, that your company is lawfully formed, and that your use of the Service complies with all applicable laws.

4. Subscription and Payment

Fees

Your subscription fee is agreed upon at sign-up and confirmed in your order confirmation email. Fees are billed monthly or annually as selected, in advance, via the payment method on file with Stripe.

Payment Failure

If a payment fails, we will attempt to retry it up to three times over seven days. If payment is not received, your account will be suspended and access to reports will be restricted until the balance is settled.

Price Changes

We may change subscription prices with at least 30 days’ written notice. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.

5. Cancellation and Refunds

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of your current billing period — you will retain access until then. We do not provide prorated refunds for partial periods.

If you are dissatisfied within the first 14 days of your initial subscription, contact us at founder@bookstackai.com and we will issue a full refund at our discretion.

6. Your Responsibilities

• Provide accurate information when creating your account and connecting financial accounts
• Review AI-generated categorizations and flag errors to our CPA team promptly
• Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access
• Not use the Service for any unlawful purpose, including money laundering or tax fraud
• Not attempt to reverse-engineer, scrape, or exploit the Service in any unauthorized manner

7. Data and Accuracy

AI-assisted categorization is highly accurate but not infallible. All reports are reviewed by our CPA team before delivery, but you remain solely responsible for the accuracy and completeness of financial information submitted to any third party, including investors, tax authorities, or lenders. BookstackAI is not liable for decisions made based on information in our reports.

8. Intellectual Property

The Service, including its software, design, and AI models, is owned by BookstackAI and protected by applicable intellectual property laws. Financial reports generated from your data are your property. You grant us a limited license to process your financial data solely to provide the Service.

9. Confidentiality

We treat your financial data as confidential. We do not sell, rent, or share your data with third parties except as described in our Privacy Policy and as necessary to operate the Service. Our CPA team members are bound by professional confidentiality obligations.

10. Limitation of Liability

To the maximum extent permitted by law, BookstackAI’s total liability to you for any claim arising from or related to the Service is limited to the fees you paid in the three (3) months preceding the claim.

We are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that financial categorizations will be 100% accurate.

12. Termination

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your access to the Service ends. You may request an export of your financial reports within 30 days of termination; after that period, we may delete your data subject to our retention obligations.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive the right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to Terms

We may update these Terms at any time. We will notify you via email and an in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
